• Founding and registration of various kinds of businesses: companies, partnerships, commercial groups, consortia, holdings, wholly owned subsidiaries, branches and representative offices of foreign companies;

• Preparation of draft internal structure of the companies and holdings, drafting of internal organizational documents;

• Corporate reorganizations: sale, division, separation, merger, consolidation, transformation, liquidation;

• Organizing meetings of governing bodies of companies, advising on decision-making, protection of shareholders’ interests, and on settlement of disputes;

• Preparation of business agreements of all types, reviewing draft agreements, acting as intermediary, participating in the business negotiations as adviser;

• Advising on the issuance and conversion of shares and other securities, ownership of shares and other securities, protection from encroachments, purchase of control block of shares, centralization or de-centralization of management;
