Legal Due Diligence
Legal due diligence investigation is conducted in the following cases:
• during purchase of all or part of a company shares;
• during reorganization: consolidation, merger, etc.;
• during purchase of real estate (building, land etc.);
• during purchase of a property;
• during acquisition of various types of licenses (primarily mineral);
• during investment (with respect to the object of investment);
• during establishing of a joint venture (with respect to the Mongolian partner);
• during bankruptcy procedure;
• prior to the issuance of bonds or obtaining of credits from financial institutions;
• other similar cases.
During a due diligence investigation a company founding documents, its contracts,
documents pertaining to the disputes pending at courts and/or arbitration bodies,
internal rules and regulations are examined and compliance of the company business
with the norms of the civil, labour and corporate law, the quality of corporate
documents and contracts with top management and employees, correctness of formalization
of the rights of ownership to the assets are evaluated and recommendations are made to
amend key company documents to bring them into consistency with the existing
provisions of relevant legislation.
